Role Summary


We are looking for a qualified and detail-oriented Company Secretary with 4–5 years of experience to manage statutory compliance, board governance, and corporate legal functions. The role will report to the Head of Finance and will play a key part in ensuring compliance with the Companies Act, SEBI, FEMA, and other applicable regulations, while also supporting fundraising, investor relations, and due diligence activities.



Key Responsibilities


  • Ensure compliance with the Companies Act, 2013, FEMA, RBI guidelines, and other applicable laws for a private limited company.

  • Organize and conduct Board Meetings, Committee Meetings, and General Meetings, including drafting agendas, notices, and minutes.

  • Maintain statutory registers, records, and filings with the MCA and other regulatory bodies.

  • Prepare and file ROC forms, annual returns, financial statements, and event-based filings in a timely manner.

  • Support fundraising activities, investor due diligence, ESOP administration, and data room management.

  • Draft, review, and vet shareholder agreements, contracts, and other legal documents.

  • Liaise with regulators, auditors, investors, and legal advisors for compliance and corporate secretarial matters.

  • Ensure implementation of corporate governance best practices aligned with startup growth and investor expectations.

  • Support internal controls, statutory audits, and compliance monitoring across the organization.


Qualifications


  • Qualified Company Secretary (CS) from ICSI.

  • LLB or exposure to corporate law preferred.

  • Strong knowledge of corporate governance, compliance, and statutory frameworks.

Gurgaon, Haryana (Work from Office – 5 days a week from Office).
