*Job Description*

We are seeking a qualified/semi-qualified company secretary (ICSI) to join our dynamic team at Rashmi & Co. The role involves handling comprehensive responsibilities across various corporate compliance functions, including:

*Roles Responsibilities* 
Incorporation and Business Registration:

Assist clients in registering new companies, including private limited companies, LLPs, and other business entities.

Handle the complete process of business registration, ensuring compliance with all statutory requirements.

Provide advisory services on selecting the appropriate business structure based on client needs.

*Compliance Services:*

Ensure timely and accurate filing of statutory returns, financial statements, and other required filings with ROC and other regulatory bodies.

Maintain and update statutory registers as per legal requirements.

Monitor compliance with applicable laws and regulations and keep clients informed of any changes affecting their business operations.

Conduct internal audits and compliance checks to ensure adherence to corporate governance standards.

*Legal Services:*

Draft and review contracts, agreements, and other legal documents on behalf of clients.

Provide legal advice on matters related to corporate law, labour law, intellectual property, and other relevant areas.

Liaise with ROC and external legal counsel.

*Client Relations and Advisory:*

Offer strategic advisory services to clients on corporate governance, mergers and acquisitions, restructuring, and other business activities.

Organise and prepare agendas, and take minutes for board meetings and AGMs, ensuring compliance with legal requirements.

Act as a liaison between clients and regulatory authorities to facilitate smooth communication and compliance.

*Team Leadership and Development:*

Lead and manage a team of apprentices, providing mentorship and guidance.

Foster a collaborative work environment, encouraging continuous learning and professional development.

*Qualifications and Skills:*

*Semi-qualified CS with a minimum of 1 year of experience.*

Strong analytical skills with the ability to interpret complex legal and financial documents.

Excellent written and verbal communication skills.

Strong organisational skills with an ownership mindset and the ability to manage multiple tasks and projects simultaneously.

Prior experience in a CS/CA firm or as a company secretary in a corporate setting is preferred but not mandatory.

Proficiency in using MS Office and other relevant software tools.
