Role Overview
The firm is seeking a Company Secretary to support its corporate and regulatory practice , working closely with partners and associates on secretarial, compliance, and corporate governance matters for domestic and international clients.
Key Responsibilities
- Handling company secretarial compliance under the Companies Act, 2013 and allied rules
- Drafting and maintaining statutory registers, minutes, resolutions, and filings
- Managing ROC filings , including incorporation, annual filings, event-based compliances, and restructuring-related filings
- Assisting on board and shareholder meetings , notices, agendas, and minutes
- Supporting corporate transactions from a secretarial and regulatory perspective (M&A, restructuring, share issuances, ESOPs, etc.)
- Liaising with regulatory authorities (ROC, MCA) and coordinating filings and approvals
- Working closely with the legal team on due diligence exercises and compliance reviews
- Advising clients on corporate governance and regulatory best practices
Candidate Profile
- Qualified Company Secretary with 1–6 years of relevant experience
- Law firm experience is required
- LL.B. qualification is important
- Strong understanding of Companies Act, 2013 , secretarial standards, and corporate compliance
- Good drafting skills and attention to detail
- Ability to work in a fast-paced law firm environment and manage multiple matters simultaneously
- Strong communication and coordination skills
