Job Specification

Corporate Governance:

  • Advise the board and senior management on corporate governance matters.
  • Ensure that the company complies with statutory and regulatory requirements.
  • Oversee the development and implementation of governance policies and procedures.

Regulatory Compliance:

  • Manage all filings with the Ministry of Corporate Affairs (MCA) and other regulatory bodies.
  • Maintain and update statutory registers and records as required under the Companies Act.
  • Prepare and submit timely compliance reports and documentation.

Board and Committee Support:

  • Organize and manage board meetings, including scheduling, agenda preparation, and minutes.
  • Support various board committees, ensuring they operate effectively and in compliance with legal standards.
  • Ensure accurate documentation of board decisions and resolutions.

Stakeholder Communication:

  • Act as a liaison between the board, senior management, and shareholders.
  • Manage shareholder communication and address queries regarding company compliance.
  • Ensure transparency in communication with relevant internal and external stakeholders.

Risk Management and Compliance Monitoring:

  • Conduct regular compliance audits and assessments to identify potential risks.
  • Develop risk mitigation strategies and ensure adherence to company policies.
  • Stay updated on new laws and regulations and implement necessary changes in policies.

Training and Development:

  • Provide training to board members and senior staff on corporate governance requirements.
  • Support team members in developing knowledge of compliance and governance best practices.

Necessary Qualification & Skills set

  • Strong knowledge of company law, excellent organizational skills, and a strategic approach to managing regulatory requirements. This role requires close collaboration with leadership to ensure the company meets its regulatory obligations and maintains the best practices in governance.
  • Education: Company Secretary (CS)
  • Experience: Minimum 7 years of experience in a similar role, with a strong background in corporate governance and compliance.
  • Skills: In-depth knowledge of company law, excellent communication and interpersonal skills, high attention to detail, and strategic thinking.
  • Preferred Qualities: Ability to handle confidential information, strong ethical standards, and proactive approach to regulatory changes.
