Company Secretary (CS) and Head of Legal – NBFC Group
Job Summary
We are looking to hire an experienced and detail-oriented Company Secretary for one of our esteemed client to manage secretarial, legal, and compliance functions for a group of companies, including registered NBFCs and deemed NBFCs. The role will be responsible for ensuring end-to-end statutory, regulatory, and corporate governance compliance in line with Companies Act, RBI, SEBI regulations, and other applicable laws.
Key Responsibilities
Corporate Secretarial & Governance
Ensure compliance with the Companies Act, 2013, other statutory and regulatory compliances for the Group, comprising 8 private companies registered in India, including 2 NBFCs.
Organize and manage Board Meetings, Committee Meetings, and General Meetings, including agenda preparation, notices, minutes, necessary filings and reporting.
Maintain statutory registers, records, minutes book and other statutory and regulatory details for the Group.
In charge of governance of the Group by ensuring putting in necessary policies, refreshing them and ensuring compliances of policies and corporate governance relates matters.
Act as a key liaison between the Board of Directors, Management, Auditors, and Regulators and other stakeholders.
NBFC & RBI Compliance
Handle end-to-end compliance for NBFCs and deemed NBFCs as per RBI guidelines.
Ensure timely filing of RBI returns (NBS-1, NBS-2, NBS-4, etc., as applicable).
Monitor changes in RBI regulations and ensure implementation across entities.
Coordinate with auditors, consultants, and RBI during inspections or audits.
Regulatory Filings & Reporting
Ensure timely filing of statutory forms with MCA, RBI, and other authorities.
Oversee annual filings, event-based filings, and disclosures.
Assist in preparation of Annual Reports, Directors’ Report, and related disclosures.
Legal & Compliance Support
Support legal documentation, contracts, and agreements and legal issues relating to the business of the Group, independently or in coordination with external legal counsel.
Ensure compliance with allied laws (FEMA, SEBI (if applicable), Labour laws, etc.).
Manage compliance calendars and internal compliance tracking systems.
Group-Level Coordination
Oversee compliance across multiple group entities, ensuring consistency and accuracy.
Support structuring, incorporation, restructuring, or closure of group entities if required.
Advise management on corporate governance best practices and risk mitigation.
Qualifications & Experience
Qualified Company Secretary (ICSI Member) – Mandatory.
12-15 years of total experience, preferably in NBFCs, financial services, or group company structures.
Strong exposure to RBI regulations and NBFC compliance is essential.
Experience handling multiple companies simultaneously will be highly preferred.
Key Skills & Competencies
Strong knowledge of Companies Act, RBI regulations, and corporate laws.
Excellent drafting, documentation, and communication skills.
High attention to detail with strong organizational abilities.
Ability to work independently and manage multiple priorities.
Strong stakeholder management and advisory skills.
