Job Description

We are seeking a qualified and detail-oriented Company Secretary to serve as the custodian of corporate governance at Wellversed. The ideal candidate will take full ownership of secretarial compliances, manage Board and Shareholder proceedings, and handle critical reporting requirements for our investors (Angels and Corporate). You will act as the bridge between the Board, the Management, and the Regulatory Authorities.

Responsibilities:

1. Secretarial & Board Management

- Meetings Administration: End-to-end management of Board Meetings, Committee Meetings, and General Meetings (AGM/EGM) as per the Companies Act, 2013 and Secretarial Standards (SS-1 & SS-2).
- Documentation: Drafting of comprehensive Agendas, Notices, Board Notes, and recording detailed Minutes of Meetings.
- Resolutions: Drafting and filing of necessary Board and Shareholder resolutions (Circular and Physical).
- Statutory Registers: Maintenance and updating of all statutory registers (Register of Members, Directors, Transfers, Charges, etc.).

2. ROC & Regulatory Filings

- MCA Filings: Timely preparation and filing of e-forms with the Registrar of Companies (ROC) via the MCA portal (e.g., MGT-7, AOC-4, PAS-3, DIR-12, MGT-14).
- Annual Compliances: Managing the entire cycle of annual filing and XBRL filing where applicable.
- Event-Based Compliances: Handling changes in directorship, increase in authorized capital, change of registered office, etc.

3. Investor Relations & Compliance (Critical)

- Shareholder Agreement (SHA) Adherence: Ensuring strict compliance with the terms agreed upon with investors (including Jubilant Foodworks Ltd), such as Information Rights, Affirmative Vote matters, and periodic reporting.
- Capital Table Management: Managing the Cap Table, issuance of share certificates, and stamping of shares.
- Due Diligence: Leading the secretarial aspect of due diligence for future funding rounds and maintaining a "Virtual Data Room" ready state.

4. Additional Compliances

- FEMA/RBI: Handling RBI filings (FC-GPR) regarding foreign direct investment (if applicable) or transfer of shares.
- ESOP Management: Administering Employee Stock Option Plans, including granting, vesting, and exercising documentation.

Skills Required:

- 3–6 years of working experience in a funded startup or a company with institutional/corporate investors.
- Qualified Company Secretary (Member of the Institute of Company Secretaries of India - ICSI) and deep understanding of the Companies Act 2013, Secretarial Standards, and FEMA regulations.
- Proven track record of handling complex compliance structures involving PE/VC investors.
- Exceptional drafting skills (English).

Good to Have’s:-

- A Bachelor’s degree in Law (LLB) is a strong advantage.
- Confidence to interact with senior Board members, Angel Investors, and Corporate nominees.
- Ability to work in a fast-paced, high-growth environment where timelines are critical.
