Job Description: Compliance and Governance Associate
Location: Bangalore; for projects across India

Key Responsibilities:
- Drafting of Notices, Agendas, Resolutions, Minutes etc. for the Board, its committees and Shareholders meeting.
- Establish and manage a centralized repository for resolutions, filings, contracts and compliance documents for the group.
- Filing of necessary Forms with ROC, Ministry of Corporate Affairs.
- Co-ordination with Statutory auditors, Internal Auditors, Secretarial Auditors, legal advisors and other PCS and agents who are associated with the Company.
- Assisting the internal and external stakeholders with clarifications, opinions, letter drafts etc. in relation to the secretarial affairs.
- Ensuring overall compliance under Companies Act, 2013 and other applicable corporate secretarial laws.
- Formation of companies, LLP’s, Section 8, Trusts, and ensuring compliance of these associate entities.
- Leading the Corporate Social Responsibility (CSR) projects of the Company and reporting the same to the committee in appropriate formats.
- Consolidate monthly function/department reports for the Board.
- Responsible for resolving all audit-related disputes amicably to ensure smooth compliance with the audit process.
- Organize and record Annual General Shareholder meetings, Audit Committee and Board meetings to keep all stakeholders informed about business and ensure compliance with the statutory norms as per Companies Act in India.
- Drafting and Vetting of Business Contracts viz. Sales Agreements, ReSeller Agreements, Service Agreements, Distribution Agreements, Logistics Agreements, NDA, Letter of Intents, MoU etc.
- Negotiation and Execution of contracts with the stakeholders, updating of contract management tools.
- Co-ordinate with the Management on the strategies of the matters and frame policies, SOP, frameworks, Control mechanisms.
- Carry out researches on industry practices and be up to date on the updates on statutory developments applicable to the Company.
Other Responsibilities:
- Enable a cultural shift toward structured, transparent, and professional governance.
- Collaborate effectively with Finance, Legal, and People & Culture, while ensuring non-overlapping accountability.
- Work closely with management to evaluate & mitigate the legal impact of major decisions, where applicable law, regulations, or facts of the case are unclear, controversial, or conflicting.
- Support management by ensuring the smooth functioning of the Board and its Committees, including Audit Committees.
- Appoint law partner associates, partner with them in preparation of cases for litigation, reviewing complex documents relating to transactions in which the company is to participate, explain cases to partner attorneys and brainstorm effective solutions within the legal framework.
- Monitor changes in relevant legislation and the regulatory environment and take appropriate actions and assist the Management in compliance to amendment to existing laws like labour codes and new age laws viz. Privacy, Information Technology Laws and Data Privacy.

- A highly pragmatic, business focused professional with the ability to effectively and proactively advise management whilst maintaining a clear commercial, pragmatic and operational focus.
- Exceptional organizational, communication, and documentation skills.
- High integrity, fiduciary responsibility, and confidentiality and ability to influence and advise senior stakeholders effectively.
- Strong cultural awareness and sensitivity in operation,
- Data-driven analytical skills to manage multiple assignments/projects simultaneously
- Proactive, detail-oriented, and solution-driven mindset with proficiency in digital tools and applications.
Qualifications:
- M Com/MBA/ CS- Inter with 4 + years of compliance, audit, corporate secretarial and governance experience.
- Professional Membership with ICWAI, ICSI or similar organization with a minimum 2+ years of compliance, audit, corporate secretarial and governance experience.
