Position Title: Executive - Regulatory & Compliance
Location: Dadar Office, Mumbai
Department: Secretarial & Compliance
Experience: 2 years PQE
Qualification: CS qualified; LLB preferred
Key Responsibilities:
- Support in ensuring Secretarial Compliances under the Companies Act, 2013, LLP Act and other applicable statutory and regulatory requirements for all group entities in India including co-ordination with the relevant internal stake holders for statutory meetings, maintenance of statutory records, statutory fillings etc.
- Assist in preparation, filing and tracking of statutory forms and returns with MCA, RBI, IBBI, and other authorities.
- Drafting and maintenance of Board and Committee meeting minutes, notices, resolutions, and other secretarial records.
- Coordinate and support the conduct of Board, Committee and Shareholder meetings.
- Maintenance and regular updating of Statutory Registers and records.
- Ensuring necessary compliances for admission and retirement of partners of an LLP and/or reconstitution of partnership and all regulatory filings thereof.
- Issue, offer and Allotment of securities on Rights Basis and Private Placement and all regulatory filings thereof.
- Ensuring FDI related compliances including filing of FC-GPR, FC-TRS, FLA return under FEMA.
- Liaise with internal teams and external advisors for secretarial and legal requirements.
- Liaise with ROC or such other regulatory bodies as may be required from time to time.
- Keep abreast of regulatory updates and disseminate relevant changes to internal stakeholders.
- Ensuring all such other Regulatory Compliances for all group entities in India as may be required from time to time
