<p><p><b>Description:</b><br/><br/>- Prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs) and follow up on action points.<br/><br/>- Guide the chairman and the board to ensure they are operating in accordance with rules and regulations.<br/><br/>- File necessary documents with Companies House, such as annual tax returns and audit reports.<br/><br/>- Convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.<br/><br/>- Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.<br/><br/>- Maintain statutory books, including registers of members, directors, and secretaries.<br/><br/>- Liaise with external regulators and advisers such as lawyers and auditors.<br/><br/>- Take an active role and provide valuable input to the management decisions related to sharing issues, mergers, and Have Skills:</b><br/><br/>- The capability to work with numerical information, plus analytical and problem-solving skills.<br/><br/>- The ability to prioritise work and to work well under pressure.<br/><br/>- Integrity and discretion when handling confidential information.</p><br/></p> (ref:iimjobs.com)
