Position: Senior Counsel - Investment Legal

About the role

This is a senior transaction legal role. You will be working closely with the investment team as part of the deal team. We expect active participation in the deal construction with commercial mindset and a pragmatic solution driven approach.

This role is part of the AMC legal team and you will work under overall supervision of experienced senior lawyers in the team/General Counsel.

Key Responsibilities

• Review of term sheet for credit/structured investments. Drafting and negotiation of debenture issue documentation/ credit instruments with the Issuers. Security creation documentation and advice.
• Liaison with external counsel, reviewing their work product, negotiation and transaction management.
• Due diligence from lenders perspective, review of key contracts and existing borrowing documents, tile search reports.
• Articulating legal risks and preparing summary diligence reports.
• Handling portfolio legal issues
• Should keep abreast with the latest legal and regulatory changes/ requirements and adhere to such requirements.

Required Skills

• Be a qualified lawyer with 7-8 years of experience working in a law firm or with a legal department of asset management company, NBFC or Bank.
• Good drafting skills, ability to independently manage transactions.
• Understanding of credit products, structured debt, and familiarity with debenture documentation.
• Working knowledge of Alternative Investment Funds will be an advantage.
• Good research skills and skills in dealing with external advisors/service providers.
• Be ambitious and passionate and ability to work effectively under pressure.
