Job Description

Gibson Arnold & Associates is seeking an attorney with 5+ years of experience to join a firm in Houston, TX as a Senior M&A Associate. The ideal candidate will be experienced with:


  • Leading and supporting M&A transactions including asset deals, stock purchases, mergers, joint ventures, and strategic alliances;

  • Drafting, reviewing, and negotiating definitive agreements, including purchase agreements, disclosure schedules, ancillary agreements, letters of intent, NDAs, and term sheets;

  • Managing due diligence processes, including overseeing junior attorneys and coordinating with other practice areas (tax, employment, IP, real estate, regulatory);

  • Providing strategic advice to corporate clients on deal structure, risk allocation, timelines, and closing mechanics;

  • Conducting and managing corporate governance matters related to transactions, including board and shareholder consents;
